Agreement

This is a legal agreement between you (individual user or entity) and Mudroom, Inc., governing use of our products, software, and services. The Mudroom Privacy Policy is incorporated by reference. Mudroom may contact users via email.

Accounts, Passwords, and Security

Users must register with email and password for access. You are responsible for password security and all account activity. External authentication services are supported without requiring password sharing. Security vulnerability reports should be directed to policies@mudroom.co.

Acceptable Use and Conduct

Users are solely responsible for their conduct and data. Users must indemnify Mudroom against losses from their data or violations. Products are for personal or internal business use only, compliant with applicable laws and respecting third-party rights. Commercial use, resale, or distribution is prohibited. Unauthorized system access violates federal and state laws with potential civil and criminal penalties.

Eligibility and Age

Minimum age requirements per applicable law and app store terms apply. Users under the age of majority must have parental or guardian consent. Age verification relies on app store information without independent verification by Mudroom.

Consent to Collect Non-Personal Information, Use of Data

Non-personally identifiable information (usage statistics, performance metrics, configuration settings) may be collected and sent to Mudroom for unrestricted use. User-entered data is copied and stored per our Privacy Policy.

Changes to Products, Software or Services and Terms

Mudroom reserves the right to modify, suspend, or discontinue services without notice. Agreement modifications are effective upon use and immediately for existing users after posting. Users are bound by amended terms upon continued use; disagreement requires immediate account termination. Continued use constitutes acceptance.

Use of Products, Software or Services

A non-exclusive, non-transferable, non-sublicensable limited revocable license is granted for personal or internal business purposes where applicable fees are paid. YouTube API integration requires agreement to the YouTube Terms of Service. Third-party code is governed by accompanying license terms. Mudroom reserves all other rights.

Service Availability

Commercially reasonable efforts are made to maintain 24/7 availability except for planned maintenance. Users are notified of anticipated downtime when possible.

Renewals and Refunds

Automatic renewal without notice is permitted upon license expiration, charging applicable renewal fees to the card on file. Non-renewal requires opting out or removing your payment method. Users have seven calendar days from renewal to discontinue use for a full refund. Refunds are not issued for periods under one month. No refunds except as expressly provided herein.

Intellectual Property

Mudroom or third parties own all rights, title, and interest in source code, software, and content. Users grant Mudroom a perpetual, royalty-free, irrevocable, transferable license with sublicense rights to any user ideas or comments submitted, for incorporation without further compensation.

Mudroom™ is a registered trademark of Mudroom, Inc.

Term and Termination

This agreement is effective upon any use including trial periods and remains until account termination. Automatic termination occurs upon non-compliance. Mudroom may refuse or discontinue any user at its sole discretion. Upon termination, all use must cease immediately. Certain sections survive termination including intellectual property, warranties, liability, governing law, and entire agreement provisions. GDPR-required security and privacy commitments also survive.

Disclaimer of Warranties

Products are provided "AS IS" with no warranties. Mudroom and third parties disclaim all express, implied, and statutory warranties including merchantability, fitness, title, non-infringement, security, reliability, timeliness, and performance. Users assume all risks and sole responsibility for resulting damages or data loss. Some jurisdictions prohibit implied warranty exclusions; exclusions may not apply universally.

Limitation of Liability

Mudroom and suppliers are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages. Aggregate liability is capped at the amount paid to Mudroom; no liability if services are provided without charge. Limitations apply regardless of damage source or remedy failure. Products are not intended for nuclear, aviation, mass transit, medical, or dangerous applications.

Export Restrictions and Enforceability

Products are subject to export control. Users must comply with U.S. export laws and regulations. Users in U.S. embargoed countries are prohibited from use. Failure to enforce provisions does not constitute waiver. Unenforceable provisions do not affect the remainder of the agreement.

Governing Law, Dispute Resolution, and Venue

This agreement is governed by Delaware law without conflict of laws provisions; the UN Convention on International Sale of Goods is excluded. Domestic U.S. disputes are resolved by binding arbitration. International disputes involving non-U.S. parties are settled under International Chamber of Commerce Rules. For non-applicable arbitration, exclusive jurisdiction is in Washtenaw County, Michigan state and federal courts, except Mudroom may pursue injunctive relief or intellectual property protection in any competent court.

Entire Agreement and Assignment

This agreement incorporating the Privacy Policy constitutes the entire agreement and supersedes prior understandings. Waivers are effective only if written and signed by Mudroom. Users cannot assign or transfer rights without written Mudroom consent; Mudroom may freely assign. Unauthorized assignments are void.
